Background
History & Context
What Changed
- ▶
Scope of Automation: BEFORE, only the PANs of Designated Persons (DPs) were automatically frozen by depositories. NOW, the PANs of their 'immediate relatives' are also frozen at the security level.
- ▶
Compliance Burden: BEFORE, the onus was entirely on DPs to ensure their relatives did not trade, and compliance officers had to manually monitor this. NOW, the process is system-driven; DPs submit relative PANs once, and the designated depository handles the freeze.
- ▶
Implementation Phasing: BEFORE, there was no mandate for relatives. NOW, the rule kicks in on July 1, 2025, for the top 500 listed companies (based on BSE market capitalization as of March 31, 2025) and October 1, 2025, for all remaining companies.
- ▶
Exemptions Processing: BEFORE, granting exemptions for relatives was manually tracked. NOW, if a legal exemption is granted by the company, the restriction is automatically removed within 2 trading days and reinstated once the exemption period ends.
What Did NOT Change
The legal definition of 'Immediate Relative' under Regulation 2(1)(f) of the PIT Regulations remains exactly the same, applying only to those who are financially dependent or consult the DP for trading decisions. Furthermore, the mandate applies exclusively to equity-listed entities; Infrastructure Investment Trusts (InvITs), Real Estate Investment Trusts (REITs), and debt-listed entities continue to be excluded from this specific automation.

Common Misconceptions
✗ The automated PAN freeze prevents the relatives of insiders from trading any stocks in the share market during the closure period.
✓ The PAN freeze is implemented strictly at the 'security level' (based on the company's ISIN). The relatives can freely trade shares of other, unrelated companies.
The term 'PAN freeze' sounds like a blanket ban on the individual's entire demat account, whereas the depository system applies a highly targeted restriction.
✗ Under SEBI rules, an 'immediate relative' automatically includes all parents, siblings, and children of the designated person.
✓ Except for the spouse, these relatives are only included if they are financially dependent on the designated person or consult them for trading decisions.
General definitions of 'relative' in other frameworks (like the Companies Act or Income Tax Act) rely solely on blood or marriage relationships, ignoring the financial dependency test unique to SEBI's insider trading rules.
